What a mutual NDA does
A mutual non-disclosure agreement (NDA) is a two-way promise: both sides agree to keep each other’s confidential information private and to use it only for an agreed purpose. It’s the standard first step before two parties share sensitive details — a business idea, financials, designs, or customer data — while they explore working together.
A good basic NDA covers five things: what counts as confidential, what the receiver may and may not do with it, what’s excluded (things already public or already known), how long the duty lasts, and which laws govern it. The generator above builds all of that for you.
This template is a solid starting point for straightforward situations. It isn’t legal advice and won’t cover every case — if the information is highly sensitive or the stakes are high, have a lawyer review it.
Got an NDA to sign, not create?
If someone sent youan NDA, the risk is in the wording — a one-sided definition of “confidential”, an unfair term, or a clause that reaches further than it should. The full PlainClause review reads the whole document, flags anything one-sided, and tells you what to push back on before you sign.
